  • Carbon Credit Verification: Independent validation of carbon credits for authenticity and compliance.
  • Carbon Credit Registry and Custody Services: Secure storage and management of carbon credits.
  • Carbon Credit Exchange Platform: A marketplace for buying and selling carbon credits.
  • Consulting Services: Expert advice on carbon footprint reduction and sustainability strategies.

8. User Obligations

8.1. Compliance with Laws

You agree to comply with all applicable local, national, and international laws, regulations, and ordinances related to your use of the Services.

8.2. Accurate Information

You warrant that all information provided by you is true, accurate, and complete. You agree to update such information promptly as necessary.

8.3. Use of Services

You agree to use the Services solely for lawful purposes and in accordance with these Terms.

9. Prohibited Activities

You agree not to engage in any of the following prohibited activities:

  • Unauthorized Access: Attempting to access or interfere with other users' Accounts or the security of the Services.

  • Infringement: Uploading or sharing Content that infringes on any intellectual property rights.

15. Limitation of Liability

To the fullest extent permitted by applicable law, Prism and its affiliates, officers, directors, employees, agents, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses resulting from:

  • Your access to or use of or inability to access or use the Services.
  • Any conduct or Content of any third party on the Services.
  • Any Content obtained from the Services.
  • Unauthorized access, use, or alteration of your transmissions or Content.

16. Indemnification

You agree to indemnify, defend, and hold harmless Prism and its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorney's fees, arising out of or in any way connected with:

  • Your access to or use of the Services.
  • Your violation of these Terms.
  • Your violation of any rights of another party.

17. Termination

17.1. By Prism

We may terminate or suspend your Account and access to the Services immediately, without prior notice or liability, for any reason whatsoever, including but not limited to breach of these Terms.

17.2. By User

You may terminate your Account at any time by discontinuing use of the Services.

17.3. Effects of Termination

Upon termination:

  • All rights granted to you under these Terms will cease.
  • You must cease all use of the Services.
  • Any outstanding fees or charges will become immediately due and payable.

18. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates (UAE), without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the courts located in the UAE.

19. Dispute Resolution

19.1. Informal Resolution

Before initiating any legal action, you agree to attempt to resolve the dispute informally by contacting us at info@prism.lc. We will attempt to resolve the dispute informally within 30 days.

19.2. Arbitration

If the dispute is not resolved within 30 days, it shall be finally settled by binding arbitration under the rules of the Dubai International Arbitration Centre (DIAC).

19.3. Class Action Waiver

All claims must be brought in the parties' individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding.

20. Miscellaneous Provisions

20.1. Entire Agreement

These Terms constitute the entire agreement between you and Prism regarding the use of the Services and supersede any prior agreements.

20.2. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

20.3. Waiver

No waiver of any term shall be deemed a further or continuing waiver of such term or any other term.

20.4. Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign or transfer our rights and obligations under these Terms without restriction.

20.5. Force Majeure

Prism shall not be liable for any failure to perform its obligations where such failure results from any cause beyond Prism's reasonable control, including but not limited to mechanical, electronic, or communications failure or degradation.
